Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

Either party may terminate this agreement at any time. Upon termination:

• Outstanding obligations remain in effect
• You may withdraw your funds subject to applicable fees
• We may retain records as required by law

These terms are governed by the laws of the jurisdiction where Uphold is incorporated. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
